The following Terms and Conditions apply to both individuals who are accessing or using the Program and merchants ("we" or "merchants"). By participating in the Program, the Affiliate agrees to use the Program in the manner specified in, and are bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety, you are not authorized to register as an Affiliate or participate in the Program in any manner.
1. Approve or Reject of the Registration
We reserve the right to approve or reject ANY Affiliate Program Registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Registration.
2. Affiliate Links and Coupons
When a user places an order on FurryWonder through your referral link, you will receive a commission as long as the order is not canceled or refunded.
Referral Link is a unique link we generate for each Influencer and can be found on the campaign page after you join the campaign.
The Commission will not be issued upon termination of the Program or if you are or become ineligible for the Program or do not publish posts as required.
The affiliate links are generated automatically. Users cannot select specific products to create promotion links on their own. The platform will compile a list of all items that can be promoted to a single page and then create links. If someone first clicks on another person's referral link then later clicks on yours, your link is the one that counts.
Affiliate platform doesn't provide exclusive coupon codes to each user for the time being.
Affiliate may also advertise merchant website on online channels such as Facebook, Instagram,... or offline classified channel ads, magazines, and newspapers.
3. Commissions and Payment
Refer any customer to make a purchase on our website, you will get a commission amount which is calculated based on Commission structure. Commission amount is dependent on order value and not including extra fees (tax, shipping cost,...).
Payments will only be sent for transactions that have been successfully completed. Use of the Affiliate Program is subject to a fair use policy which gives merchants the right to review each and every referral order. After logging in Personal Center, the Affiliate Program Statistics page displays the amount and status of commissions that are pending calculation, withdrawal, and have already been withdrawn. Commissions will not be paid on transactions that result in chargebacks or refunds.
4. Cookie
We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.
If a person doesn't allow cookies or clears their cookies then we can't track them so can't pay earnings on that person's activity.
Cookies day is fixed and displayed on the promotion page of each affiliate program. The tracking day will start from the time a customer clicks on the affiliate's link or use the coupon. Within the cookie time, every order made by this customer at merchant website will automatically result in commissions to the affiliate (There's no need for the customer to click on the affiliate link then).
5. Removal from Referral Program
If an affiliate wishes to be removed from the affiliate program, they can do so by contacting: info@furrypetfood.com
6. Restrictions
Influencers may not use the Program in a manner that violates any law, infringes or violates the rights of any third party, or otherwise acts in a manner that is deemed harassing, harmful, illegal, hateful, obscene, or outside the spirit and intent of the Program, as such conduct will be grounds for immediate termination and disqualification from the Program and forfeiture of any Rewards earned or accrued. In addition, Influencers may not act in an unfair or disruptive manner, or use any system, bot, or other device or artifice to participate or receive any benefit in the Program.
CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
7. Taxes
All taxes applicable to any benefits provided by Sponsor under this Agreement will be your responsibility and Sponsor shall not pay any amounts for federal, state, or municipal income tax, withholding tax, social security, unemployment, or worker's compensation. If Sponsor is required to file with the Internal Revenue Service a Form 1099-MISC, U.S. Information Return for Recipients of Miscellaneous Income or a Form 1042-S, Foreign Person's U.S. Source Income Subject to Withholding, reflecting the Rewards paid by Sponsor to you, then you will be required to complete and submit a Form W-9 or Form W-8 (Series) to Sponsor.
8. Publicity/Usage Rights
Participation in the Program constitutes your consent for the use of your photo, name, statements, biographical information, and/or hometown and state for promotional or advertising purposes of this Program, on any media, worldwide, now known or hereafter developed, in perpetuity, without further review, notification, payment, or consideration (unless prohibited by law).
9. Term and Termination
In its sole and absolute discretion, Sponsor may cancel, change, suspend, or modify any aspect of the Program and/or any Balance/benefit at any time, without notice. Sponsor may, in its sole and absolute discretion, terminate or suspend any participation in the Program for breach of this Policy, or for taking any actions that are inconsistent with the intent of this Policy. Sponsor reserves the right at its sole discretion to prohibit any participation in any aspect of the Program or change the Balance/benefit irrespective of the value if Sponsor deems or suspects that such Member has engaged in or has attempted to engage in any of the following: (a) acting in violation of this Policy; or (b) damaging, tampering with or corrupting the operation of the Program or FurryWonder platform; or (c) acting with intent to annoy, harass or abuse any other person; or (d) any inappropriate, uncooperative, disruptive, fraudulent, potentially fraudulent, or unusual behavior or activity; or (e) activity deemed in the sole discretion of Sponsor to be generally inconsistent with the intended operation of the Program. Any decision Sponsor makes relating to the termination or suspension of any Member's participation in the Program shall be final and binding in all respects. Sponsor shall be the sole determiner in cases of suspected abuse, fraud, or breach of this Policy or intent of this Policy.
10. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the State of Washington. Any dispute, controversy, difference, or claim arising out of or relating to this Agreement, including the existence, validity, interpretation, performance, breach, or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the state or federal courts located in the State of Washington when the Notice of Arbitration is submitted.
11. Limitation of Liability
To the fullest extent permitted by applicable law, no responsibility or liability is assumed by the Sponsor for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of this Program and/or FurryWonder platform: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online or other communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the Program in whole or in part for any reason; traffic congestion on the Internet or the Program; unauthorized human or non-human intervention of the operation of the Program, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Program, or loss, miscount, misdirection, inaccessibility or unavailability of an Account used in connection with the Program.
To the fullest extent permitted by applicable law, you hereby agree that: (i) any and all disputes, claims, and causes of action arising out of or connected with this Program or any Points or Rewards shall be resolved individually, without resort to any form of class action; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Program, but in no event attorneys' fees; and (iii) under no circumstances will you or anyone else be permitted to obtain awards for and you hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
WITHOUT LIMITING THE FOREGOING, AND TO THE FULLEST EXTENT PERMITTED BY LAW, EVERYTHING IN THIS PROGRAM IS PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
12. Disclaimers
We make no express or implied warranties or representations with respect to the Program or any products/benefits delivered through the Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage).
13. Privacy
The personal information collected, processed, and used as part of the Program will be used in accordance with Sponsor's privacy policy (you may find it at https://furrypetfood.com/about/privacy-policy).
Exhibit A – Furry Wonder Influencer Program Commission Income Statement
1. Your commission is calculated based on the actual payment of the Qualifying Purchase at the rate below.
2. Commission will be rounded to 2 decimal places.
3. We will verify your commission for a Qualifying Purchase after the delivery of the order. The verification will take 30 days. During the verification, such commission will be shown as "Pending." Once your commission is verified, it will be shown in your “Influencer Cash." You can only withdraw the commission when it is over $10 USD. No withdrawal is allowed if the accrued commission is less than $10 USD. You must withdraw the full sum of accrued commission. No partial withdrawal is allowed.
4. If the Qualifying Purchase is canceled or returned, the commission will be deducted accordingly.
5. To withdraw the commission, you need to provide and verify your PayPal account and, in some cases, mobile phone number. It may take a few days to receive your payment. The time required also depends on PayPal's processing.
